Waaree Renewable Technologies Limited’s board of directors has approved the transfer of the company’s entire shareholding in Waaree Green Data Centers Private Limited, a wholly owned subsidiary, to holding company Waaree Energies Limited, according to a regulatory filing.
The decision was taken at a board meeting held on Thursday, August 27, 2026, the company said in a filing made under Regulation 30 of SEBI’s Listing Obligations and Disclosure Requirements Regulations, 2015.
Waaree Green Data Centers Private Limited, formerly known as Sunsantional Energy Private Limited, did not contribute materially to the turnover, revenue, income or net worth of Waaree Renewable Technologies during the financial year 2025-26, the filing stated. The agreement for the sale is to be entered into on or before October 31, 2026, with the sale expected to be completed by the same date.
The shares will be transferred for a consideration of Rs 1,00,000, at their face value of Rs 10 per share, according to the filing. Since the buyer, Waaree Energies Limited, is the promoter of the company, the transaction falls within the ambit of related-party transactions and is being carried out on an arm’s length basis in the ordinary course of business, the filing said.
